musx Terms and Conditions
Effective Date: April 6, 2015
1. Definitions
- Service
- means the musx website and related interfaces.
- Content
- means all user-generated requests, recommendations, comments, and related materials.
- Spotify Content
- means any metadata or streams accessed via the Spotify Web Playback SDK (if enabled).
- Apple Music Content
- means any metadata or streams accessed via the Apple Music API and MusicKit (if enabled).
- YouTube Content
- means any metadata or video streams accessed via the YouTube Data API (if enabled).
- Other Service Content
- means any metadata or media accessed via future integrated music or media services (if enabled).
2. Acceptance of Terms
By accessing or using the Service, you agree to these Terms and Conditions, which form the entire agreement between you and musx, Inc. (“musx,” “we,” or “us”). If you do not agree, do not use the Service.
Updates: We will provide advance notice prior to any material changes via in‑product notice or email. Continued use after notice constitutes acceptance of the revised Terms.
3. Eligibility
You must be at least 13 years old to use the Service. Users aged 13–17 may use the Service only with verifiable parental or guardian consent.
4. Accounts
- Registration: You must register with a valid email and keep your information current.
- Security: You are responsible for safeguarding your credentials and all activity under your account. Notify musx promptly of any unauthorized access.
- Disconnect & Deletion: You may disconnect any linked music service account in Settings (which revokes stored tokens) or request full account deletion by emailing legal@musx.com.
- Suspension: We may suspend or terminate accounts that violate these Terms or threaten the Service or its users.
5. Integrations & Third-Party Services
5.1 Spotify Integration
- musx may integrate with Spotify via the Web Playback SDK under the scopes you authorize.
- If enabled, playback requires an active Spotify Premium subscription.
- musx does not store or stream audio files; all playback streams directly from Spotify.
- Re-Authorization: Any new Spotify scopes require explicit re‑authorization.
- Rate-Limiting: musx respects Spotify’s rate limits and handles 429 responses with back‑off.
- Metrics: musx may share aggregate, non-PII metrics with Spotify on request.
5.2 Apple Music Integration
- musx may integrate with Apple Music using the Apple Music API and MusicKit under valid scopes and user consent.
- If enabled, playback requires an active Apple Music subscription.
- musx does not store or stream Apple Music audio files; all playback streams directly through Apple Music.
- Under no circumstances will musx combine, merge, or interleave Spotify audio with Apple Music or any other streams; playback occurs solely within each provider’s player context.
- You must comply with Apple’s applicable terms. Apple Inc. is an express third‑party beneficiary of these Terms.
5.3 YouTube API Integration
- musx may integrate with the YouTube Data API to enable video-related features under valid scopes and user consent.
- Some features may require you to log in with your Google account.
- musx does not store or stream YouTube video files; all playback and metadata come directly from YouTube in compliance with their policies.
- You must comply with YouTube’s branding guidelines and API terms. Google LLC (YouTube) is an express third‑party beneficiary of these Terms.
5.4 Other Integrations
- musx may integrate other third‑party services, including hosting, analytics, social login, or additional music and media platforms.
- The availability of specific integrations may change from time to time. musx may enable, disable, or modify integrations at its discretion in compliance with applicable partner terms.
5.5 Disclaimers & Third-Party Liability
- Third‑party services are provided “as‑is.” musx disclaims all warranties for third‑party platforms.
- Spotify AB, Apple Inc., Google LLC, and any future integrated partners are express third‑party beneficiaries and may enforce relevant provisions directly.
5.6 Attribution
This product may use one or more of the Spotify Web Playback SDK, the Apple Music API and MusicKit, the YouTube Data API, and other music or media services. These services are subject to their own terms of use and branding guidelines. musx is not endorsed or certified by Spotify AB, Apple Inc., Google LLC (YouTube), or other integrated partners.
6. User Content & Conduct
- Ownership & License: You retain ownership of your Content and grant musx a worldwide, royalty-free license to host, display, and distribute it to operate the Service.
- Prohibited Conduct: You may not post unlawful, infringing, or harassing content; scrape, reverse-engineer, or record streams; or circumvent DRM. musx may remove Content or suspend accounts for violations.
7. Intellectual Property
- musx IP: All musx code, design, and proprietary data are owned by musx. You receive a limited, revocable license to use the Service.
- Trademarks: musx™ is owned by musx, Inc.; Spotify® by Spotify AB; Apple Music® by Apple Inc.; YouTube® by Google LLC.

8. Future Monetization
The Service is currently free. musx may introduce paid or ad-supported features in the future, including premium subscriptions, sponsored content, or partner promotions. Any changes will be reflected in updated Terms and require consent where required.
9. Disclaimers & Limitation of Liability
- No Warranties: The Service is provided “as is” without warranties of any kind.
- Liability Cap: To the fullest extent allowed by law, musx’s aggregate liability shall not exceed US $100 or the amount you paid in the prior 12 months, whichever is greater, except for claims caused by musx’s gross negligence or willful misconduct.
10. Indemnity
You agree to indemnify musx, its officers, directors, affiliates, Spotify AB, Apple Inc., and Google LLC from all claims, losses, liabilities, or expenses arising from your use of the Service, violation of these Terms, or infringement of third‑party rights, except to the extent caused by musx’s gross negligence or willful misconduct, and only to the extent permitted by law.
11. Governing Law & Venue
These Terms are governed by Delaware law. Exclusive venue is in the state or federal courts in Delaware.
12. General Provisions
- Severability: If any provision is invalid, the remainder remains effective.
- Waiver: Failure to enforce any right is not a waiver.
- Force Majeure: Neither party is liable for delays beyond its control.
- Assignment: You may not assign these Terms. musx may assign with notice.
